Terms of Business
Standard terms applying to business-to-business quotations and equipment supply.
1. Business details and application
Industrial Equipment Sourcing operates as an independent UK sole-trader business. These terms are intended for transactions with business customers and apply to quotations, orders and automation equipment supplied unless different terms are agreed in writing.
2. Quotations and orders
A quotation is an invitation to place an order and is valid for the period stated. Prices, availability, exchange rates, delivery costs and lead times may change after that period.
No binding order is formed until the order is accepted in writing and any required deposit or pro forma payment has been received in cleared funds.
3. Availability
Equipment remains subject to availability until it has been secured. Industrial Equipment Sourcing is not responsible if equipment is sold, withdrawn or becomes unavailable before the order and payment requirements are completed.
4. Specifications, compatibility and suitability
Descriptions, photographs and technical information may be based on information supplied by manufacturers, owners or third-party suppliers. Reasonable care is taken when presenting that information, but the buyer must confirm that the proposed equipment is suitable and compatible with its existing system, application, site and intended use before ordering.
Any critical requirement, including manufacturer, full part number, model series, hardware revision, firmware, software version, electrical ratings, communications protocol, environmental rating, safety function, certification or other regulatory compliance, must be identified before order and confirmed in writing.
5. Used, refurbished and obsolete equipment
Used, refurbished and obsolete equipment is supplied in the condition described in the quotation and may show wear consistent with its age and previous use. Unless expressly stated in writing, it is not supplied as new and no performance, compatibility or condition warranty is given.
Where inspection, repair or test information is available, it is provided to assist the buyer but does not replace the buyer's own assessment of suitability.
6. Prices, VAT and payment
Industrial Equipment Sourcing is registered for VAT under registration number GB 526 0355 12.
Prices and the applicable VAT treatment are stated in the quotation. Payment must be made in the currency and within the period stated. Equipment may be withheld until cleared payment is received.
Where payment is overdue, reasonable recovery costs and any statutory interest available for late commercial payments may be charged.
7. Title and risk
Legal title to the equipment does not pass to the buyer until the full amount due has been received in cleared funds. Risk passes at the point stated in the quotation or, if no point is stated, when the equipment is delivered to the agreed destination or collected by the buyer or its carrier.
8. Delivery and lead times
Delivery and collection dates are estimates unless expressly agreed as fixed in writing. The buyer is responsible for providing accurate access information and for any unloading, lifting, positioning, storage or site work not expressly included in the quotation.
Additional costs caused by restricted access, failed delivery, delay at site or inaccurate information may be charged to the buyer.
9. Installation and associated services
Installation, programming, modification and commissioning are not included, but can be subcontracted if required. Any subcontracted service will have a separately agreed scope, price and responsibility.
10. Cancellation and returns
Orders for sourced, used, refurbished, obsolete, specially purchased or configured equipment cannot be cancelled or returned without prior written agreement. If cancellation is accepted, the buyer remains responsible for costs and commitments already incurred, together with any reasonable handling, transport, storage or restocking costs.
11. Liability
Industrial Equipment Sourcing is not liable for indirect or consequential loss, loss of production, loss of profit, loss of contract or business interruption arising from the supply, delay, failure or use of equipment.
Subject to anything that cannot legally be excluded, total liability arising from an order will not exceed the amount paid for the equipment or service giving rise to the claim. Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
12. Events outside reasonable control
Neither party is responsible for delay or failure caused by events outside its reasonable control, including transport disruption, supplier failure, industrial action, fire, flood, severe weather, government action or interruption to utilities or communications.
13. Governing law
These terms and each order are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction unless otherwise agreed in writing.
